Introduction


This page contains information on the escrow policy, arrangement and processes that have been put in place with regards to the Verne source code.

It is recognised that the continued availability, operation and maintenance of the Verne product software is critical to clients, and these tasks should be able to continue independently of any events that could befall Foster Moore. Accordingly, Foster Moore has established a standard source code escrow arrangement to ensure that the interests of all parties are observed in the event of any potentially damaging events to Foster Moore.

The arrangement contains details on: –

  • The subject and scope of the escrow. 
  • Foster Moore’s obligations to put updated versions of the software in escrow at specific intervals.
  • The conditions that must be met for the agent to release the source code to the Client. 
  • The rights obtained by the Client with respect to the source code in the event of the release of the source code. 

Escrow Agent Details


Foster Moore has an agreement in place with Iron Mountain to act as their independent escrow agent. Iron Mountain was founded in 1951 and is an enterprise information management services company, headquartered in Boston, Massachusetts. Its services are supplied to more than 156,000 customers throughout North America, Europe, Latin America, and Asia.

The agreement with Iron Mountain works as a master escrow agreement. New Foster Moore customers can obtain the benefit of that agreement by being added to its scope as a named beneficiary.

Process


Foster Moore deposit new Releases of Verne source code with Iron Mountain, once the Release has been formally signed off and accepted by the internal Product quality assurance process. In keeping with the Verne Release protocol, a deposit is made for major and minor releases.

The nature of the deposit is such that the Verne product can be built and subsequently started by appropriately skilled and qualified individuals from the contents included in the escrow deposit. Accordingly, the deposit includes environmental software, such as the Java SDK and Maven which are intrinsic to the build process.

Verne Product Code and Client Project Code

Note that this page describes the policy that applies to the Verne Product code, which includes the following:

  • Verne – Catalyst Cloud;
    • Business Registration Management Template;
    • Occupational Registration Management Template;
  • Magellan Builder – Verne – Catalyst Cloud Integrated Development Environment (IDE)

The policy does not apply to the Client specific configuration files and any applicable bespoke source code (such as interface code). Any arrangement (escrow or otherwise) with regards to such code would be independent of this policy and be subject to a separate agreement between Foster Moore and the Client.
