The Partnership Register is a public register of the following partnerships:
- Limited Partnership
- Limited Liability Partnership
- Overseas Limited Liability Partnership
Below is a brief overview of each partnership type as they are in the Verne standard partnership register.
Limited partnership
Limited partnerships are a partnership with two types of partners:-
- General partners, (who are liable for all the debts and liabilities of the partnership); and
- Limited partners, (who are liable to the extent of their capital contribution to the partnership).
- The limited partnership must have at least one general and one limited partner, which is not the same partner.
Limited liability partnership
Limited liability partnerships are a partnership that must consist of not less than two partners. The partner types for a limited liability partnership are: –
- Designated partner;
- Limited partners.
At least one of the partners must be a designated partner and the same partner can be a designated and a limited partner.
Overseas limited liability partnership
An
overseas limited liability partnership is one that has been set up in
another country outside the country of the Partnership register, prior
to registering itself with this countries register.
The partner types for a limited liability partnership are: –
- Designated partner;
- Limited partners.
At least one of the partners must be a designated partner and the same partner can be a designated and a limited partner.

Allows the filling of a ‘Notice of Change’, to convert a limited partnership to a limited liability partnership.
Dissolve partnership
Files a ‘Notice of Dissolution’, to dissolve a partnership.
Restore partnership
Application to restore the partnership that has been Struck Off or Ceased
Register an assignment
Register an assignment for a limited partnership.
File statement of particulars in respect of charge
Files a ‘Statement of Particulars in Respect of Charge’.
File release of particulars in respect of charge
Files a ‘Release of Particulars in Respect of Charge’.
Limited liability partnership specific features

Files a ‘Revocation of Dissolution’ of a limited liability partnership or and overseas limited liability partnership that has been Dissolved.
File statement of particulars in respect of charge
Files a ‘Statement of Particulars in Respect of Charge’.
File release of particulars in respect of charge
Files a ‘Release of Particulars in Respect of Charge’.
Partnership compliance
The standard partnership register provides standard partnership registry features for partnership’s to comply with the standard partnership register’s compliance. They are:
Pay Annual Fee
Allowing the partnership to pay their annual fee.
File Annual Solvency Certificate
Allowing the filling of an ‘Annual Solvency Certificate’ for:Limited liability partnership;Overseas limited liability partnership.
Internal services
The Verne standard partnership register provides internal options to manage the register from an administrative and back office perspective. They are:
Appoint an approved liquidator
Allowing an approved liquidator to be appointed to an overseas limited liability partnership.
Maintain file notes
Allowing electronic notes to be typed in for a partnership.
Maintain partnership flags
Allowing registry staff to:
- Suppress any partnership from being viewed on the register by anyone except registry staff
- Remove and prevent maintenance access to a partnership to anyone except registry staff.
Correct the register
Correct the register allowing appropriately privileged registry staff to correct, reorder and insert partnership filings.
